Shareholders stick with Droga Kolinska

The deadline for accepting the public offer by Istrabenz, published on 15 March 2006, for the purchase of the shares of Droga Kolinska expired on Friday 12 May 2006. Until the expiry of the validity of the offer, 462 shareholders who were the holders of 662.827 shares or 4,61 percent of all the shares issued by Droga Kolinska accepted the offer at a price of SIT 2,450 per share. Together with the 55.63 percent share that Istrabenz already had in Droga Kolinska before the offer, it will at the close of the offer become the owner of 8.664.099 shares or 60,24 percent of all the Droga Kolinska shares.

Igor Bavčar, the CEO of Istrabenz, responded to the shareholders’ response to the offer with the following comment: “According to the result of the offer shareholders believe that Droga Kolinska will successfully manage risk regarding the implementation of the business strategy. Istrabenz remains the longterm strategic owner of Droga Kolinska and supports the business strategy of the management board.”

Robert Ferko, the CEO of Droga Kolinska, explained: “The result of the offer does not affect the strategic orientation and the on-going activities of the Droga Kolinska management. Our priority this year remains the successful completion of post-merger integration. Until 2010 we need to become a leading food manufacturing company in the region. The result of the offer shows that the existing shareholders are willing to take on the risk connected to the implementation of the goals, that were set.”

Istrabenz in its public intention of a take-over offered shareholders SIT 2,450 per Droga Kolinska share, which represents the average price of Droga Kolinska shares over 30 trading days on the Ljubljana Stock Exchange from 30.1.2006 until 13.3.2006.
